Senior Legal Counsel - Remote Opportunity at Ruby Labs

About the Role

Ruby Labs is seeking a Senior Legal Counsel remote to lead our legal function as we scale across multiple jurisdictions. This role is pivotal in ensuring corporate governance and regulatory compliance within our diverse operations in the health, education, and entertainment sectors.

What You'll Do

• Draft, review, and maintain corporate governance documents across all group entities.
• Prepare and maintain intra-group agreements, including intercompany service agreements and licensing agreements.
• Develop and update corporate records to evidence genuine activity and economic substance.
• Lead the preparation of comprehensive defence files for group entities.
• Ensure legal compliance in group-wide tax matters by optimizing contracts and corporate documentation.
• Monitor regulatory changes and advise management on risks and actions.
• Manage legal aspects of equity incentive programs, including drafting agreements and overseeing compliance.
• Oversee the management of the group’s IP portfolio, including registration and enforcement of trademarks.
• Handle all stages of dispute resolution, including drafting responses and managing external counsel.
• Build a network of trusted external legal advisors and coordinate engagements.
• Develop internal legal processes and knowledge management systems.

Requirements

• 7+ years of post-qualification experience in corporate/commercial law.
• Admitted to practice in relevant jurisdictions (EU, England & Wales, US State Bar, or Singapore).
• In-house experience at an international holding/group or top-tier advisory firm.
• Working knowledge of English and US contract/corporate law.
• Proven track record in corporate governance documentation and IP rights management.
• Exceptional English legal drafting skills.
• Strong analytical and strategic thinking abilities.
• Deep understanding of economic substance requirements and transfer pricing principles.
• Excellent project management skills.
• Strong communication skills for conveying complex legal concepts.

• Litigation or dispute resolution experience.
