About the Role

We are seeking an Assistant Manager - Legal and Transactions (Remote Contract) to join our team at Langham Hall. This is a fixed-term contract role until April 2027, where you will play a crucial part in providing client transaction support and ensuring compliance with Luxembourg corporate law.

What You'll Do

  • Support the execution and structuring of complex transactions, including fund formations, acquisitions, disposals, restructurings, and financing arrangements.
  • Manage and oversee transaction workflows, coordinating with external legal counsels, notaries, banks, tax advisors, and fund administrators.
  • Ensure that all transaction documentation, including investment agreements and share purchase agreements, is reviewed and properly executed.
  • Supervise fund flows, capital contributions, and distributions, ensuring proper documentation and compliance with legal and tax requirements.
  • Serve as the client’s point of contact, ensuring high-quality service and proactive communication.
  • Lead and mentor team members, acting as the first point of contact for core deliverables.
  • Develop strong working relationships with investors, fund sponsors, investment managers, legal counsel, and financial institutions.
  • Perform ad hoc tasks on a day-to-day basis and ensure timely submission of timesheets.

Requirements

  • Master’s or bachelor’s degree in law, Corporate Law, Business Law, Commercial Law, or a related field.
  • At least 4 years of experience in a similar role in Luxembourg.
  • Excellent knowledge of Luxembourg corporate law and its application to funds and other structures.
  • Understanding of fund structures and AIFMD regulations.
  • Knowledge of AML/KYC compliance and regulatory requirements in Luxembourg.

Nice to Have

  • Additional certifications related to AML/KYC compliance or fund administration.
