Corporate Counsel (Data Centers) - Remote

About the Role

We are seeking a Corporate Counsel (Data Centers) to join our team at Galaxy. This Corporate Counsel remote position will support legal matters related to the construction, procurement, and operation of large-scale data center projects. You will be a key legal partner to internal teams and lead negotiations of complex vendor and third-party agreements.

What You'll Do

• Structure, negotiate, and draft a wide range of agreements supporting data center construction and operations, including construction contracts, procurement agreements, and vendor contracts.
• Provide legal support for large-scale, mission-critical infrastructure projects from development through operations.
• Advise internal stakeholders on risk allocation, contract interpretation, and dispute mitigation related to construction and operational matters.
• Negotiate confidentiality agreements and other commercial contracts as required.
• Support compliance with contractual obligations and company policies.
• Manage and oversee outside counsel on construction, procurement, and operational legal matters.
• Provide practical, business-oriented legal advice on company strategies and their implementation within the data center platform.

Requirements

• 3-5 years of legal experience, with significant experience in construction, procurement, operations, and vendor contract negotiation for large-scale projects.
• Prior experience at a nationally recognized law firm, with infrastructure, construction, or complex commercial contracting exposure.
• Strong contract drafting and negotiation skills, with the ability to manage multiple complex matters simultaneously.
• Ability to work independently, prioritize effectively, and partner closely with cross-functional business teams.
• Juris Doctor degree and active member in good standing of at least one U.S. state bar.
• Experience supporting large capital projects, ideally data centers or other critical infrastructure.
• Experience managing outside counsel and advising on risk in high-value, time-sensitive projects.
• Familiarity with procurement and operational issues in a highly technical environment preferred.
